1. Agreement to Terms

By accessing or using VIVID ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, then you may not access the Service.

2. Description of Service

VIVID is an AI-powered platform that transforms product photos into professional UGC (User Generated Content) videos. Our service includes:

• Image upload and optimization
• AI model selection and customization
• Automated video generation
• Audio processing and integration
• Content download and sharing capabilities

3. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password and for all activities that occur under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Credits and Payment

Our service operates on a credit-based system:

• Each user starts with 100 credits
• Different actions consume different amounts of credits
• Credits can be purchased through our payment system
• All payments are processed securely through Stripe
• Credits are non-refundable except as required by law

5. Content Ownership and License

Your Content: You retain all rights to the content you upload to our Service. By uploading content, you grant us a limited license to process, store, and display your content solely for the purpose of providing our Service.

Generated Content: You own the videos and images generated by our Service using your uploaded content. However, you acknowledge that AI-generated elements (such as backgrounds or effects) may not be copyrightable.

Acceptable Use: You may not upload content that:

• Violates any laws or regulations
• Infringes on intellectual property rights
• Contains explicit, offensive, or inappropriate material
• Depicts illegal activities or promotes harm
• Contains personal information of others without consent

6. Prohibited Uses

You may not use our Service:

• To generate deepfakes or misleading content
• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code
• To spam, phish, pharm, pretext, spider, crawl, or scrape
• For any obscene or immoral purpose
• To interfere with or circumvent the security features of the Service

7. Service Availability

We strive to provide a reliable service, but we do not guarantee that:

• The Service will be available at all times or without interruption
• The Service will be error-free or that defects will be corrected
• The results obtained from the Service will be accurate or reliable

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.

8. Limitation of Liability

To the maximum extent permitted by law, VIVID shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

9. Indemnification

You agree to defend, indemnify, and hold harmless VIVID and its licensors and licensees, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of the Service or violation of these Terms.

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of your jurisdiction, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
